Product Information

OPERATIONAL PROCEDURE: FOB BATUMI

1. Seller issues contract and commercial invoice; both party counter sign.

2. Seller confirms his credibility & RWA by providing previous SGS records & bill of lading.

3. Buyer confirms his financial capability with credible reference letter from his/her contracting bank and/or reference letter from an oil & gas multination company.

4. Seller issues DIP TEST authorization with consignment location & product certification to SGS; Seller orders for SGS service to conducts analysis and certification of consignment.

5. SGS verifies consignment location & product certification. Seller/Buyer signs SGS contract. SGS issue service order invoice & schedule for DIP TEST.

6. Buyer issue RWA letter from her bank as indicated in appendix #2 of this MoU

7. SGS conducts surveyor inspection, confirms and issues quality, quantity & product certification to buyer in buyer’s company name.

# SGS SURVEYOR TO BE COVERED ON LIVE VIDEO TILL SGS SEAL TANK TAP COVER

8. Buyer pays 100% of master invoice of quantity of commodity on Tank/Tanker as confirmed by the SGS/surveyor report, via swift transfer MT103.

9. Seller transfer title of ownership charty to buyer.

10. Buyer takes absolute ownership/responsibility to maintains seller's Tank/Tanker or transfer consignment to her Tank/Tanker.

11. Seller pays commission to all third party sub-contractors.

Special condition:

1# If the Buyer is not able to issue RWA letter from her bank, as indicated in appendix 2 of this MOU in short term, then both party have to guarantee this purchase/supply order MoU/Title of product with fiscal escrow deposit of three hundred thousand United States Dollars (USD$300 000.00) each, in MayFair Associates escrow service limited.

2# Seller will issue unconditional dip test authorization and tank information to SGS. SGS validity it and confirm back to buyer. Seller will title documents, only to SGS. Seller will order for SGS Q&Q and product certification on behalf of buyer, on buyer’s expenditure (USD$ 50 000.00) and result of the report will be seller’s company name.

And/or

Seller will issue unconditional dip test authorization and tank receipt directly to buyer. Buyer will order for SGS Q&Q and product certification and the result of the report will be buyer’s company, only condition that buyer will implement clause #1 of this special condition.
